Exit Policy
What happens on voluntary exit, and if GreenStrata Mobility suspends operations after six months or permanently closes.
This document is a draft template prepared for internal review. It must be examined, adapted and executed under the guidance of a qualified advocate practising in India, and stamped as required under the applicable State Stamp Act before it becomes binding.
1. Voluntary exit
- 1.1A partner may exit on 60 days' written notice after the lock-in stated in the Commercial Schedule.
- 1.2Assets are returned or liquidated at the partner's election; loans and verified liabilities are settled first.
2. If GreenStrata suspends or ceases operations
- 2.1Capital Partner: asset ownership is unaffected. Loan settlement, asset liquidation and outstanding liabilities are resolved in the priority order — lender dues, verified operating liabilities, then partner. Final settlement statement within 45 days.
- 2.2Vehicle Partner: ownership always remains with the partner. Vehicle returned within 15 working days, pending collections settled within 30 days, driver transferred if required.
- 2.3Fleet Partner: fleet ownership unchanged. All operational records transferred, management agreement terminated, balances settled within 30 days.
- 2.4In every scenario partners receive a wind-down notice, a reconciled ledger and inspection rights over vehicle, GPS and collection records.
- 2.5Client collections held in trust are not treated as assets of the business and are distributed to the respective partners first.
3. Settlement mechanics
- 3.1An independent chartered accountant may be appointed at the partners' cost to certify the final ledger.
- 3.2Liquidation is through an approved dealer or auction channel with a reserve price disclosed to the partner.
- 3.3Disputed amounts are referred to the Dispute Resolution Policy without holding up undisputed payouts.
4. General
- 4.1Governing law: the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to the Dispute Resolution Policy.
- 4.2Notices shall be delivered by email to the addresses recorded in the Registration Form and by registered post for termination or settlement notices.
- 4.3No provision of this document creates an employment, partnership or agency relationship beyond what is expressly stated.
- 4.4If any clause is held unenforceable, the remainder survives unaffected.
- 4.5This document, together with the Registration Form and annexed schedules, constitutes the entire understanding between the parties.
