Fleet Partner Agreement
Fleet management mandate for owners of multiple vehicles, with service levels, reporting and clean handover on termination.
This document is a draft template prepared for internal review. It must be examined, adapted and executed under the guidance of a qualified advocate practising in India, and stamped as required under the applicable State Stamp Act before it becomes binding.
1. Scope
- 1.1The Partner appoints the Operator to manage the fleet listed in the Fleet Schedule.
- 1.2Fleet ownership is unchanged; the Operator acts as manager only.
- 1.3Scope covers driver recruitment, utilisation, maintenance, charging, insurance, collection, GPS, analytics and support.
2. Service levels
- 2.1Target fleet utilisation and maximum permissible downtime are stated in the SLA Schedule.
- 2.2Breakdown response within defined hours and replacement vehicle cover as per the Maintenance Policy.
- 2.3Monthly MIS covering utilisation, collections, cost per vehicle and incident log.
3. Fees
- 3.1Management fee per vehicle per month or agreed revenue share, benchmarked to utilisation and collection performance.
- 3.2Fee adjustments require written agreement and take effect prospectively.
4. Termination
- 4.1Termination on the notice period in the Commercial Schedule, or immediately for material breach.
- 4.2Operator transfers all operational records: driver files, trip data, GPS history, maintenance logs and collection ledgers.
- 4.3Deposits and undisputed balances are settled within 30 days of a supervised handover.
5. General
- 5.1Governing law: the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to the Dispute Resolution Policy.
- 5.2Notices shall be delivered by email to the addresses recorded in the Registration Form and by registered post for termination or settlement notices.
- 5.3No provision of this document creates an employment, partnership or agency relationship beyond what is expressly stated.
- 5.4If any clause is held unenforceable, the remainder survives unaffected.
- 5.5This document, together with the Registration Form and annexed schedules, constitutes the entire understanding between the parties.
