Vehicle Partner Agreement

Appoints GreenStrata as operator of a partner-owned EV auto against a fleet management fee, with ownership permanently retained by the partner.

This document is a draft template prepared for internal review. It must be examined, adapted and executed under the guidance of a qualified advocate practising in India, and stamped as required under the applicable State Stamp Act before it becomes binding.

1. Ownership

  1. 1.1The vehicle is and remains the sole property of the Partner. Registration certificate, invoice and insurance policy stay in the Partner's name.
  2. 1.2The Operator holds the vehicle only as a bailee for operational purposes and acquires no lien over it.

2. Operator services

  1. 2.1Driver allocation, replacement driver cover and daily operations.
  2. 2.2Maintenance management, GPS tracking and insurance coordination.
  3. 2.3Charging and swap access, rental collection and remittance.

3. Fees and settlement

  1. 3.1The Operator earns a fleet management fee per vehicle per month, or an agreed percentage of collections, as stated in the Commercial Schedule.
  2. 3.2Collections net of the management fee and documented pass-through costs are remitted monthly with a statement.

4. Termination and handover

  1. 4.1Either party may terminate on 30 days' written notice.
  2. 4.2The vehicle is returned at the Partner's nominated Bengaluru location within 15 working days of termination.
  3. 4.3All pending collections up to handover are reconciled and settled within 30 days.
  4. 4.4The allocated driver may be transferred to the Partner with the driver's consent, along with KYC and verification records.
  5. 4.5GPS data, service history and insurance documents are handed over in full.

5. General

  1. 5.1Governing law: the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to the Dispute Resolution Policy.
  2. 5.2Notices shall be delivered by email to the addresses recorded in the Registration Form and by registered post for termination or settlement notices.
  3. 5.3No provision of this document creates an employment, partnership or agency relationship beyond what is expressly stated.
  4. 5.4If any clause is held unenforceable, the remainder survives unaffected.
  5. 5.5This document, together with the Registration Form and annexed schedules, constitutes the entire understanding between the parties.
